These Terms of Service ("Terms") govern your access to and use of FieldWyre, Inc.'s platform, website, and related services (collectively, the "Service"). By creating an account, clicking "I Agree," or otherwise accessing the Service, you agree to be bound by these Terms and our Privacy Policy.
If you are using FieldWyre on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.
FieldWyre is a field operations management platform that provides tools for job management, site surveys, quoting and invoicing, subcontractor management, recurring monthly revenue (RMR) tracking, network monitoring, and related field service operations. Features vary by subscription plan.
You agree not to use the Service to:

You retain ownership of all data, content, and information you upload or create within FieldWyre ("Your Content"). You grant FieldWyre a limited, non-exclusive license to store, process, and display Your Content solely as necessary to provide the Service.
FieldWyre and its licensors own all rights, title, and interest in the Service, including all software, designs, trademarks, and content. Nothing in these Terms transfers any intellectual property rights to you. You may not copy, modify, distribute, or create derivative works of the Service without our written permission.
Each party agrees to keep confidential any non-public information of the other party designated as confidential or that reasonably should be understood to be confidential. This obligation does not apply to information that is publicly available, independently developed, or disclosed under legal requirement.
We aim to maintain high availability of the Service but do not guarantee uninterrupted access. Scheduled maintenance, updates, and circumstances beyond our control may result in temporary downtime. We will make reasonable efforts to notify users of planned maintenance in advance. FieldWyre is not liable for any losses resulting from service interruptions.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR CONTINUOUSLY AVAILABLE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FIELDWYRE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.
FIELDWYRE'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO FIELDWYRE IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
You agree to indemnify, defend, and hold harmless FieldWyre, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.
Either party may terminate these Terms at any time. FieldWyre may suspend or terminate your account immediately if you violate these Terms, fail to pay fees, or engage in conduct that poses a risk to the Service or other users. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Sections 6, 9, 10, 11, and 13) will survive.
These Terms are governed by the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service will first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the American Arbitration Association (AAA) rules. You waive any right to participate in class action lawsuits or class-wide arbitration.
We may update these Terms from time to time. We will provide at least 30 days' notice of material changes via email or in-platform notification. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and cancel your account.
