By submitting the contractor interest form on this website, you acknowledge that you have read, understood, and agree to the terms outlined below. A formal, legally binding agreement will be provided for your signature before any work begins.

1. Introduction & Purpose

FieldWyre, LLC ("FieldWyre," "Company," "we," or "us") welcomes the interest of skilled contractors and professionals who wish to contribute to our platform. Before any engagement begins, all prospective contractors are required to review and acknowledge the terms of this disclosure.

This document outlines the nature of the contractor relationship, the requirement to execute a formal Non-Disclosure Agreement (NDA), and the Company's ownership of all intellectual property — including any ideas, suggestions, feedback, or contributions made during or in connection with any engagement with FieldWyre.

2. Non-Disclosure Agreement (NDA) Requirement

All contractors and prospective contractors are required to execute a formal, legally binding Non-Disclosure Agreement before:

  • Receiving access to any FieldWyre proprietary information, source code, designs, or business data
  • Participating in any discussions involving unreleased product features, roadmaps, or technical architecture
  • Beginning any paid or unpaid work on behalf of FieldWyre
  • Attending any onboarding calls, demos, or internal meetings

By submitting the contractor form, you acknowledge that you will be required to sign a formal NDA and that you are willing to do so before any engagement begins. Submission of the form does not constitute an offer of work and does not create any obligation on the part of FieldWyre.

What the NDA Covers

The formal NDA you will be asked to sign will include, but is not limited to, obligations regarding:

  • Confidentiality of all proprietary technical, business, and financial information
  • Non-disclosure of FieldWyre's platform architecture, code, and features
  • Protection of customer data and information
  • Obligations that survive the termination of any contractor relationship

3. Intellectual Property Ownership

FieldWyre is the sole and exclusive owner of all intellectual property related to its platform, products, and services. This includes — without limitation — all software, source code, databases, designs, documentation, trademarks, trade secrets, processes, and business methodologies.

Ideas & Suggestions Are Advisory Only

Any ideas, suggestions, feedback, recommendations, or concepts ("Input") you share with FieldWyre — whether during the application process, in conversation, via email, through the contact form, or at any other time — are provided on a non-confidential, royalty-free basis and become the sole property of FieldWyre upon submission.

Submitting an idea or suggestion does not grant you any ownership interest, licensing rights, equity stake, revenue share, compensation claim, or other rights of any kind with respect to the FieldWyre platform or any product derived from or incorporating such Input.

Contractor Work Product

All work product created by a contractor in the course of an engagement with FieldWyre — including but not limited to code, designs, documentation, content, and any derivative works — shall be considered "work made for hire" under applicable law and shall be the exclusive property of FieldWyre from the moment of creation.

To the extent any work product is not deemed a "work made for hire" by operation of law, the contractor agrees in advance to irrevocably assign all rights, title, and interest in such work product to FieldWyre, including all intellectual property rights therein.

No Rights Conveyed by Participation

Participation in the application process, completion of any task or assessment, attendance at any meeting, or any other pre-engagement activity does not create any employment relationship, partnership, joint venture, or entitlement to compensation, equity, or rights of any kind.

4. Independent Contractor Status

Any engagement with FieldWyre is as an independent contractor, not as an employee, partner, agent, or joint venturer. Contractors are solely responsible for their own taxes, insurance, equipment, and compliance with applicable laws and regulations. Nothing in this disclosure or any subsequent agreement creates an employment relationship.

5. Acknowledgment of Terms

By submitting the contractor interest form, you confirm that you:

  • Have read and understood the terms of this Contractor Agreement & NDA Disclosure
  • Agree to execute a formal Non-Disclosure Agreement before any engagement begins
  • Understand that any ideas, suggestions, or Input you provide become the sole property of FieldWyre
  • Acknowledge that you have no ownership interest, rights, or claims to the FieldWyre platform or any products derived from it
  • Understand that submission of the form does not constitute an offer of engagement or employment
  • Are at least 18 years of age and have the legal authority to enter into binding agreements

6. Governing Law

This disclosure and all formal agreements between FieldWyre and its contractors shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to conflict of law principles. Any disputes arising from or related to a contractor engagement shall be subject to the exclusive jurisdiction of the courts located in New Jersey.
